Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Ramblaa platform, website, applications, integrations, APIs, communications systems, AI-powered automation features, and related services (collectively, the “Services”) provided by Ramblaa (“Ramblaa,” “we,” “our,” or “us”).

By accessing or using the Services, you agree to be bound by these Terms.

If you are using the Services on behalf of a business, property owner, hospitality operator, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

Ramblaa provides AI-powered hospitality operations software, communications tools, workflow automation, integrations, analytics, and related technology services.

Ramblaa is a software platform only.

Ramblaa does not provide:

• property management services
• concierge services
• emergency response services
• staffing services
• maintenance services
• legal advice
• compliance services
• security monitoring services
• or operational management services.

Users remain solely responsible for all operational decisions, property operations, guest interactions, communications, staffing, maintenance, compliance obligations, safety procedures, emergency handling, and all actions taken in connection with their properties or businesses.

You must be at least 18 years old and legally capable of entering into binding agreements to use the Services.

You may not use the Services if prohibited by applicable law.

You are responsible for:

• maintaining the confidentiality of account credentials
• all activity occurring under your account
• configuring permissions and approval settings
• ensuring that integrations and connected systems are properly authorized.

You agree to provide accurate and complete information.

The Services may include artificial intelligence systems, automated workflows, automated communications, recommendations, task generation, operational suggestions, routing systems, escalation systems, integrations, and other automated functionality.

AI-generated outputs may be inaccurate, incomplete, delayed, misleading, inappropriate, or unavailable.

Ramblaa does not guarantee:

• the accuracy of outputs
• operational correctness
• guest satisfaction
• legal compliance
• uninterrupted functionality
• message delivery
• or business outcomes.

Users are solely responsible for reviewing, validating, monitoring, supervising, approving, and evaluating all outputs, communications, workflows, decisions, and operational actions.

Use of approval workflows or escalation settings does not create any duty, warranty, guarantee, or assumption of responsibility by Ramblaa.

You authorize Ramblaa to:

• send automated communications
• generate AI-assisted responses
• create and manage tasks
• execute workflows
• interact with third party systems and integrations
• route communications
• perform automated operational actions
• and process operational instructions configured by you.

You are solely responsible for:

• approval settings
• escalation rules
• automation configuration
• communication policies
• operational policies
• and all consequences arising from use of the Services.

The Services may integrate with or rely upon third party platforms, providers, products, APIs, communication systems, and services.

These may include, without limitation:

• Airbnb
• Hospitable
• Twilio
• WhatsApp
• OpenAI
• payment processors
• property management systems
• communications providers
• analytics providers
• and other third party services.

Ramblaa does not control and is not responsible for:

• third party platforms
• outages
• API failures
• platform suspensions
• delivery failures
• policy changes
• data handling by third parties
• or third party terms and conditions.

Your use of third party services may be subject to separate agreements and policies.

You are solely responsible for:

• compliance with applicable laws
• obtaining all necessary rights, permissions, and consents
• property operations
• guest safety
• emergency response procedures
• staff management
• physical security
• truthful listings and representations
• communications sent through the Services
• and compliance with third party platform rules.

You represent and warrant that you have all necessary rights and permissions to:

• provide data to Ramblaa
• communicate with guests and staff
• use automated communications
• and connect third party integrations.

You may not use the Services to:

• violate applicable laws
• send unlawful, abusive, deceptive, or unsolicited communications
• engage in fraud or impersonation
• discriminate unlawfully
• harass or abuse individuals
• interfere with or disrupt the Services
• reverse engineer or attempt unauthorized access
• use the Services for unlawful surveillance
• or use the Services in a manner that could create harm, liability, or regulatory exposure.

You retain ownership of your data and content.

You grant Ramblaa a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, transmit, analyze, process, display, and use your data and content as reasonably necessary to:

• provide the Services
• operate integrations
• improve platform functionality
• maintain security
• generate analytics
• develop features
• detect abuse
• and operate the business.

Ramblaa may generate aggregated or anonymized data derived from use of the Services.

The Services are provided on an “as is” and “as available” basis.

Ramblaa may:

• modify the Services
• add or remove features
• suspend functionality
• change integrations
• discontinue portions of the Services
• or update technical requirements at any time.

Ramblaa does not guarantee:

• uptime
• availability
• uninterrupted operation
• message delivery
• or compatibility with third party systems.

Certain Services may require payment.

You authorize Ramblaa to charge applicable fees.

Unless otherwise stated:

• fees are non-refundable
• subscriptions automatically renew
• taxes are your responsibility.

Ramblaa may change pricing upon notice.

The Services, including software, models, designs, interfaces, workflows, branding, and related technology, are owned by Ramblaa or its licensors.

Except as expressly permitted, you may not:

• copy
• modify
• distribute
• sublicense
• reverse engineer
• or exploit the Services.

To the maximum extent permitted by law, Ramblaa disclaims all warranties, express or implied, including warranties of:

• merchantability
• fitness for a particular purpose
• non-infringement
• accuracy
• reliability
• availability
• or operational performance.

Ramblaa does not warrant that:

• the Services will be error-free
• AI outputs will be accurate
• communications will be delivered
• workflows will function correctly
• or the Services will meet your expectations.

To the maximum extent permitted by law, Ramblaa and its affiliates, officers, employees, contractors, licensors, and service providers shall not be liable for:

• indirect damages
• consequential damages
• special damages
• incidental damages
• punitive damages
• lost profits
• lost revenue
• lost bookings
• business interruption
• reputational harm
• data loss
• property damage
• personal injury
• guest disputes
• or operational failures.

Ramblaa’s total aggregate liability arising out of or relating to the Services shall not exceed the total amount paid by you to Ramblaa during the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain liability limitations. In such jurisdictions, liability shall be limited to the maximum extent permitted by law.

You agree to defend, indemnify, and hold harmless Ramblaa and its affiliates, officers, employees, contractors, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses arising from:

• your use of the Services
• your properties or operations
• guest claims
• communications sent through the Services
• legal or regulatory violations
• third party disputes
• misuse of AI systems
• or breach of these Terms.

Ramblaa may suspend or terminate access to the Services at any time, with or without notice, for any reason.

You may stop using the Services at any time.

Sections intended to survive termination shall survive.

These Terms shall be governed by the laws of the State of Delaware, excluding conflict of law principles.

To the maximum extent permitted by law, disputes shall be resolved through binding arbitration on an individual basis.

You waive any right to participate in class actions or class arbitrations.

Nothing in these Terms limits rights that cannot legally be waived under applicable law.

You are responsible for ensuring that use of the Services complies with laws applicable in your jurisdiction.

Ramblaa makes no representation that the Services are appropriate or lawful in all jurisdictions.

Ramblaa may modify these Terms at any time.

Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
